case-studiesWhilst it is difficult to document the entirety of varied tasks I have undertaken for clients, the list below provides a snapshot of some of the matters with which I have assisted:

  • Successfully challenging purported contract termination by client on behalf of the contractor, resulting in a mutual termination without liability to the contractor.
  • Undertaking a commercial review of contracts across a medium sized business, to ensure alignment of terms and reduction of risk for the contractor from the supply chain (including professional services) through to the client.
  • Undertaking the re-structure of the division of a large contractor, encompassing redundancies and re-deployment of staff on altered terms and conditions.
  • Introducing KPIs and review procedures for operational staff in a medium sized contracting business, increasing visibility of performance and incentive.
  • Drafting bespoke contractual documentation aligned to the requirements of respective clients including framework agreements, specialist contracts for professional services and design, sale and supply of goods, services and installation.
  • Advising on NEC3 contracts and drafting relevant Z clauses.
  • Providing training to staff, empowering them to deal confidently with contract documents and issues to benefit their employers.
  • Succeeding in court proceedings for the recovery of debt form a ‘phoenix’ company.
  • Successfully recovering debts due to companies (both with and without the use of litigation), including disputed final accounts.
  • Drafting supplier contracts and assisting my client in agreeing those terms with a number of suppliers.
  • Reviewing client documents both to improve the manner of expression and to ensure compliance and reduced risk.
  • Resolving disputes through correspondence.
  • Successfully defending warranty claims made by a purchaser under a company sale agreement.
  • Reviewing client contracts on behalf of contractors, advising as to any “show-stopper” clauses, other factors to be aware of, and suggested amendments to request.
  • Writing tender documents and carrying through to successful quality presentation.
  • Negotiating lease terms on behalf of clients, including the insertion of break clauses and reduction of liabilities in respect of the condition in which the property was to be left.
  • Assisting with the transition of one division of a large contractor into a separate limited company.
  • Negotiating IT agreements to include real service provision targets and timescales.
  • Assisting in the amicable exit of a senior employee without liability to the employer.
  • Advising and assisting with numerous TUPE transfers, both as transferor and transferee, and advising in respect of the subsequent alteration of terms and conditions.
  • Undertaking both disciplinary and grievance procedures for various clients.
  • Assisting in contractual negotiations and due diligence issues in respect of the sale of a large business.
